Affiliate & Partner Terms

These terms govern participation in the SiteLumo Affiliate Program and Partner Program, including referrals, affiliate commissions, partner introductions, white-label work, overflow delivery, and subcontract arrangements.

These terms supplement the SiteLumo Terms & Conditions and Privacy Policy.
Please read these terms before applying for or participating in a SiteLumo Affiliate or Partner program. By applying, accepting program access, submitting a referral, using an affiliate link, or working with SiteLumo under an approved partner arrangement, you agree to these terms. Project-specific written terms may supplement or override these terms for that specific project where expressly stated.

1. About These Terms

These Affiliate & Partner Terms (“Program Terms”) apply to individuals and businesses participating in the SiteLumo Affiliate Program or Partner Program. They cover commission-based referrals, referrals of other affiliates, referral partnerships, white-label / wholesale work, overflow delivery, and subcontract arrangements. These Program Terms operate alongside SiteLumo’s general Terms & Conditions and Privacy Policy.

2. Program Relationship

Participation does not create employment, agency, franchise, joint venture, fiduciary, or exclusive representation rights unless a separate written agreement expressly says otherwise. Affiliates and Partners act as independent businesses or independent promoters and are responsible for their own activities, representations, taxes, expenses, and legal obligations.

3. Eligibility and Application

Applications are free. SiteLumo may review the applicant’s website, audience, business, client network, promotional methods, or proposed collaboration model before approval. Approval is discretionary. Applicants do not need to purchase a SiteLumo service or pay a membership fee in order to apply. SiteLumo may request reasonable additional information where necessary to review an application or project.

4. Affiliate Program

The Affiliate Program is intended for publishers, creators, marketers, newsletter owners, communities, consultants, and others who can introduce or refer potential SiteLumo customers. Affiliates may use approved referral links, direct introductions, approved promotional materials, or other accepted attribution methods. SiteLumo handles service scoping, pricing, delivery, and customer support unless a separate Partner arrangement applies.

5. Direct Affiliate Commission Rates

Unless a different project-specific rate is agreed before a referral is accepted, the standard Affiliate rates are:

Websites: 25% of Eligible Revenue.
Software: 15% of Eligible Revenue.
AI & Automation: 15% of Eligible Revenue.
Maintenance & Support: 20% recurring on Eligible Revenue for the first 12 months of the qualifying maintenance or support relationship.

Custom enterprise work, unusually low-margin work, projects containing substantial pass-through costs, or other exceptional projects may use a different commission rate if SiteLumo discloses that rate before accepting the referral for that project.

6. Refer Another Affiliate — 3% Lifetime Reward

If you directly introduce another Affiliate who is approved by SiteLumo, you will earn an additional 3% of Eligible Revenue from all qualifying customer sales generated by that Affiliate for the lifetime of that Affiliate’s approved participation in the program, subject to these Program Terms.

This reward applies to Affiliates you directly introduce. If that Affiliate later introduces another Affiliate, the 3% reward on the later Affiliate belongs to the person who directly introduced them. The reward does not automatically extend beyond your own direct introductions.

No reward is generated merely because someone registers or is approved. The 3% is generated only when the directly introduced Affiliate produces qualifying customer revenue.

7. Referral Attribution

A referral may be attributed through an approved affiliate link, coupon or tracking method, direct referral registration, written introduction, or another attribution method accepted by SiteLumo. Where attribution is unclear, duplicated, disputed, technically unavailable, or claimed by more than one participant, SiteLumo may determine attribution using the available records and the commercial context of the referral. Participants should register or identify direct referrals as early as reasonably possible.

8. Eligible Revenue

“Eligible Revenue” means qualifying service revenue actually collected and retained by SiteLumo for the applicable customer transaction, after excluding amounts that are not reasonably treated as SiteLumo service revenue. Exclusions may include taxes, refunds, chargebacks, credits, third-party licences, third-party software, cloud infrastructure, API usage, hosting or domain pass-through costs, advertising spend, hardware, payment amounts collected on behalf of third parties, and similar pass-through or reimbursable costs.

Commission is not calculated on amounts that SiteLumo does not actually collect or later has to return.

9. Custom-Quoted Projects

Many Software, AI & Automation, custom website, integration, and other development projects do not have a fixed public price. Affiliates and Referral Partners do not need to quote these projects themselves. SiteLumo may scope the opportunity, prepare the commercial proposal, and determine the final project price. Commission is then calculated using the applicable rate and the project’s Eligible Revenue, unless a different written rate was agreed in advance.

10. Maintenance and Recurring Commission

For qualifying Maintenance & Support referrals under the standard Affiliate Program, the direct Affiliate receives 20% of Eligible Revenue collected during the first 12 months of that qualifying customer relationship. Unless separately agreed, the standard recurring commission ends after the first 12 months. Refunds, credits, non-payment, cancelled service periods, and excluded pass-through costs do not generate commission.

11. Partner Program

The Partner Program is designed for agencies, freelancers, consultants, designers, marketers, and other client-facing professionals who may need a delivery partner. Depending on the opportunity, SiteLumo and the Partner may work under a Referral, White-label / Wholesale, Overflow, or Subcontract model. The applicable model, responsibilities, pricing, communication structure, and delivery scope may be confirmed project by project.

12. Referral Partner Arrangements

Under a Referral Partner arrangement, the Partner introduces the potential customer and SiteLumo generally handles scoping, quoting, contracting, collection of customer payment, delivery, and support. The applicable referral reward or commission should be confirmed under the relevant program terms or project-specific written arrangement. A Referral Partner should not promise pricing, timelines, deliverables, or contractual terms on behalf of SiteLumo unless expressly authorised.

13. White-label and Wholesale Arrangements

White-label / Wholesale work is not automatically treated as an Affiliate commission transaction. SiteLumo may provide the Partner with a project-specific partner quote or wholesale price. The Partner may then determine its own client-facing price and retain its own commercial margin, subject to the agreed scope and responsibilities.

The Partner remains responsible for any promises, pricing, warranties, or commercial commitments it independently makes to its customer beyond what SiteLumo has agreed to deliver.

14. Overflow and Subcontract Work

A Partner may engage SiteLumo to deliver a complete client project or a defined portion of a project where the Partner needs additional capacity or specialist technical support. Scope, dependencies, access requirements, timeline, pricing, review responsibilities, and handoff requirements should be agreed before work begins. SiteLumo is responsible only for the work it has expressly agreed to perform.

15. Client Relationships

For approved white-label or subcontract arrangements, SiteLumo will respect the agreed client-facing structure. SiteLumo will not intentionally use confidential information obtained through that engagement to bypass the Partner and pursue the client outside the agreed arrangement. Any direct communication with the end client should follow the project arrangement, except where direct contact is authorised, operationally necessary for delivery, required for security or legal reasons, or otherwise agreed by the parties.

Referral arrangements are different: where a Partner expressly refers the customer to SiteLumo for direct service, SiteLumo may communicate and contract directly with that customer.

16. Confidentiality and NDAs

Participants must protect non-public information received through the program, including client information, credentials, project materials, pricing that is identified as confidential, technical information, and non-public business information. Where appropriate, SiteLumo and a Partner may enter into a separate NDA or project-specific confidentiality agreement. Confidential information must not be used outside the permitted referral or project purpose.

17. Promotion and Representations

Affiliates and Partners must promote SiteLumo accurately and lawfully. Do not impersonate SiteLumo, create misleading claims, promise guaranteed business outcomes, misrepresent prices or services, use deceptive advertising, send unlawful spam, misuse SiteLumo trademarks, or claim authority to bind SiteLumo to a contract unless expressly authorised. Participants are responsible for required advertising, affiliate, sponsorship, or endorsement disclosures applicable to their channels and jurisdiction.

18. Refunds, Chargebacks and Commission Adjustments

Refunded, reversed, fraudulent, cancelled, unpaid, or charged-back customer amounts do not generate final commission. If commission was calculated or paid on revenue that is later reversed, SiteLumo may cancel the pending commission or offset the corresponding amount against future commissions where reasonably necessary. Legitimate completed customer revenue remains eligible under the applicable rate.

19. Commission Approval and Payouts

Commissions may appear as pending until the underlying customer payment, refund risk, project status, or other relevant conditions have been confirmed. Approved commission payout methods, timing, minimum payout thresholds (if any), currency handling, and any required payment or tax information may be communicated through the applicable program system, account area, or written program instructions. Participants are responsible for providing accurate payout information when requested.

20. Taxes

Affiliates and Partners are responsible for determining and paying their own taxes, duties, reporting obligations, and similar liabilities arising from commissions, referral rewards, margins, or project income they receive. SiteLumo may request tax or identity information where required by law, a payment provider, or the applicable payout process.

21. Suspension and Termination

A participant may stop promoting or working with SiteLumo at any time, subject to any active project commitments. SiteLumo may suspend or terminate program access for material breach, fraud, unlawful promotion, repeated misrepresentation, misuse of confidential information, non-performance on an active agreed project, or other conduct that creates material risk to SiteLumo, customers, or other Partners.

Termination does not automatically eliminate commission that was already validly earned and approved before termination, except where the underlying transaction was ineligible, fraudulent, refunded, reversed, or otherwise subject to adjustment under these Program Terms.

22. Changes to the Program

SiteLumo may update these Program Terms, program tools, attribution methods, commission structures for future referrals, or participation requirements as the programs develop. Changes will apply prospectively unless a change is required to address fraud, legal obligations, security, payment-provider requirements, or a clearly disclosed project-specific arrangement. Previously confirmed project-specific terms remain governed by the written terms accepted for that project unless the parties agree otherwise.

23. General Terms, Liability and Disputes

The SiteLumo Terms & Conditions apply to matters not specifically addressed here, including applicable limitations, service disclaimers, intellectual property, third-party services, governing law, dispute handling, and website use. Nothing in these Program Terms guarantees that an Affiliate or Partner will generate referrals, sales, projects, revenue, or any particular amount of commission.
